TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING PANDACOMMISSION'S SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THE PANDACOMMISSION SERVICES.

1. Scope of Services

Your use of the Service is governed by these Terms. By agreeing to these Terms, you confirm that you accept and agree to comply with them. Additionally, clients must create a PandaCommission account, ensuring the confidentiality of account information, as clients are fully responsible for all activities that occur under their accounts.

1.1. PandaCommission provides graphic, funnel, and website design services, as detailed on our website at www.pandacommission.com (the "Services").

1.2. Services include unlimited design requests and revisions for unlimited brands during the subscription period, subject to the terms outlined in this Agreement.

1.3. The number of active requests will depend on how many active requests the Client purchased. An active request is equivalent to one ticket submission in our ticketing portal. Each active request has different turnaround times based on the request, complexity, volume, etc. The Client is responsible for providing detailed project briefs, design references, timely feedback, and all necessary assets to initiate and complete design projects. The Client is also required to provide any additional information or materials requested by PandaCommission that we deem necessary to successfully complete the project.

1.4. While PandaCommission operates as a subscription service, the service is provided on a month-to-month basis. The cancellation and refund policies are detailed in section 4.5 and 4.6 of this Agreement and should be reviewed for clarity regarding subscription management and payments. The subscription period begins immediately upon receipt of payment, not upon the first ticket submission. Clients gain immediate access to submit requests upon payment, and PandaCommission ensures adequate staffing to handle requests promptly.

2. Turnaround Times

2.1. Initial requests will take a minimum of two (2) business days or more depending on the request type, complexity, and volume of work. The time required for each project will vary based on its type, complexity, and volume of work. Smaller or simpler projects will naturally take less time than larger or more intricate ones. Turnaround times provided on our website are estimates based on normal conditions and volume and are not guarantees or promises. Urgent requests will be considered on a case-by-case basis. If a client consistently requests urgent projects due to their own failure to plan properly, PandaCommission reserves the right to maintain its standard turnaround times. Excessive urgent requests may result in the termination of the subscription or project at PandaCommission's sole discretion. Delays may also occur if the Client does not provide timely feedback, as this directly impacts the total project timeline. PandaCommission will provide an estimated completion time based on the project’s scope and requirements. Turnaround times may also be affected by unforeseen circumstances, such as illness, power outages, internet disruptions, or severe weather conditions.

 

2.2. Revisions will generally take one (1) business day but may require additional time depending on the complexity.

 

2.3. Work hours are Monday through Friday, 3:00 AM EST to 12:00 PM EST. No work will be performed on weekends or holidays observed in the U.S. or Philippines.

3. Ownership and Intellectual Property

3.1. Upon full payment of all invoices, the Client will retain ownership of all designs created under this Agreement. PandaCommission will provide all source files for completed projects to the Client.

 

3.2. The Client does not have the right to resell, redistribute, or recreate the designs for their own commercial gain without prior written consent from PandaCommission. If the Client intends to use the designs for resale or redistribution, they must inform PandaCommission to discuss potential collaboration or licensing opportunities.

 

3.3. PandaCommission reserves the right to display any designs created under this Agreement as part of our portfolio or for marketing purposes, unless the Client explicitly requests otherwise in writing.

4. Payment and Subscription Terms

4.1. The Client agrees to pay the subscription fee as detailed on our website. All fees are exclusive of applicable taxes.

 

4.2. At PandaCommission, we carefully plan our staffing to provide top-notch design services for our clients. When you subscribe, we allocate resources and schedule our designers based on your potential requests—whether they are for websites, funnels, or graphics. Since we staff in advance to ensure we’re fully prepared to meet client needs, we operate under a strict no refund policy. Once your subscription is charged, no refunds will be provided, regardless of how much or how little you use the service. This policy helps us maintain the quality of our work for all clients.

 

4.3. PandaCommission does not offer credits or refunds for unused time during the subscription period. If the Client is dissatisfied with a design draft, they are encouraged to engage in the collaborative revision process to ensure satisfaction. Dissatisfaction with a draft does not entitle the Client to a refund.

 

4.4. If the Client refuses to provide the necessary assets, chooses to discontinue working with PandaCommission, or opts to work with another designer, refunds will not be issued. PandaCommission values collaboration and encourages Clients to fully participate in the process to achieve desired outcomes.

 

4.5. To cancel the subscription, the Client must provide at least three (3) business days' notice before the next billing cycle. If the Client cancels after this period, the subscription will remain active for the next month, and the cancellation will take effect afterward.

 

4.6. If a project is considered abandoned due to lack of communication as outlined in section 6.4, no refund will be provided, as payments made cover the work completed up until that time. The abandonment period is defined as a lack of response for fourteen (14) business days from our most recent message.

5. Service Limitations

5.1. PandaCommission does not provide:

 

- Complex custom illustrations, 3D/CAD projects, or fine art.

 

- Backend integrations, coding, or development work.

 

- Trademarked content or content writing.

 

5.2. Requests deemed inappropriate, offensive, or outside our core values will not be serviced.

6. Client Responsibilities

6.1. The Client must provide clear and timely feedback, respond to requests for additional information, provide design references, and submit any other requested assets deemed necessary by PandaCommission to complete the project. Feedback on design updates should be shared within one (1) to two (2) business days of delivery to ensure projects remain on schedule.

 

6.2. Failure to provide necessary information, assets, or timely feedback may result in extended project timelines. If the Client fails to provide what PandaCommission deems necessary, refuses to provide requested assets, or does not provide feedback in a timely manner, PandaCommission reserves the right to terminate the project and the Client's subscription without providing a refund.

 

6.3. If the Client does not like their design draft, they agree to participate in the collaborative revision process. Refusing to provide feedback or engage in this process will be considered a breach of this Agreement, and PandaCommission reserves the right to terminate the subscription without providing a refund.

 

6.4. If the Client does not respond to our most recent message or within fourteen (14) business days, the project may be considered abandoned, and PandaCommission reserves the right to terminate the project or subscription without providing a refund.

7. Indemnification

7.1. The Client agrees to indemnify and hold harmless PandaCommission, its employees, contractors, and affiliates from any claims, damages, or expenses arising from the Client’s use of the designs or violation of this Agreement. This includes, but is not limited to, claims resulting from intellectual property disputes, misuse of the designs, or breaches of confidentiality.

8. Post-Cancellation Policy

8.1. Once a subscription is canceled, PandaCommission is not obligated to continue work on any outstanding designs. Minor revisions may be considered at our discretion.

 

8.2. Clients who wish to resume services must reactivate their subscription.

9. Confidentiality and Data Protection

9.1. PandaCommission agrees to maintain the confidentiality of any proprietary or sensitive information provided by the Client.

10. Amendments

10.1. PandaCommission reserves the right to update this Agreement at any time. Clients will be notified of significant changes. Updates will be displayed on our website, and we recommend clients check periodically to stay informed of any changes.

11. Additional Provisions

11.1. The Client acknowledges that PandaCommission observes holidays in the U.S. and the Philippines. Notifications will be provided in advance where possible.

 

11.2. All disputes shall be governed by the laws of the State of Georgia, and any legal action shall be brought in the courts located in Gwinnett County, GA.

REFUND POLICY

Cancellations and Refunds

At PandaCommission, we carefully plan our staffing to provide top-notch design services for our clients. When you subscribe, we allocate resources and schedule our designers in advance based on your potential requests—whether they are for websites, funnels, or graphics. This ensures we are fully prepared to meet client needs. As such, we operate under a strict no-refund policy.

 

Once your subscription payment is processed, no refunds will be issued, regardless of how much or how little you use the service during the subscription period. This policy allows us to maintain the quality and availability of our services for all clients.

 

If you wish to cancel your subscription, you must notify us at least three (3) business days before your next billing date. If cancellation is requested after this period, your subscription will remain active through the end of the next billing cycle, and the cancellation will take effect thereafter.

 

Payments cover the work and resources allocated during your subscription period. If a project is abandoned due to lack of communication as outlined in our Terms and Conditions, no refund will be provided.

 

By subscribing to PandaCommission, you acknowledge and agree to this refund policy.
